COMPANY SECRETARY

Sinclairs Corporate Services’ fixed annual fee to act as Company Secretary  or Assistant Company Secretary for a client company includes the following standard services:

 

  • Maintenance of the Company’s books and records;

  • Provision of 1 Certificate of Incumbency when required by the Company;

  • 5 free notarized copies of the Company’s corporate records, upon request;

  • Signing of documents where required as Company Secretary  or Assistant Company Secretary;

  • Preparation of 2 resolutions per year for use at EGMs or AGMs (additional resolutions at US$150.00 /per document); and

  • Ad hoc company secretarial services at a reduced hourly rate.

 

We are also able to provide the follow ad hoc company secretarial services which are charged at an hourly rate:

 

  • Preparing agendas for meetings;

  • Preparing  / Issuing notices of meetings;

  • Collating proxy forms and ascertaining sufficient attendance (quorum) at meetings to allow the meeting to proceed; and

  • Taking minutes of EGMs, AGMs and shareholder meetings.
